| Royalty-Free Licence Agreement |
| By purchasing and using any Shotbank product you are agreeing to be bound by the terms of the agreement.
You may purchase and use Shotbank material in accordance with this agreement. If you are purchasing / using the material on behalf of your employer you are deemed to be acting as a company representative and as a result your employer must ensure that Shotbank material is used within the parameters of this agreement.
Upon use of the Media clips, (Any form of Shotbank material, whether supplied on computer or tape based storage devices) you are granted a non-exclusive, non-transferable licence to use and modify the Media Clips subject to the following terms and conditions:
Single Use
This licence permits the registered user to use the media clips on one editing/computer. A multiple licence is available on request.
You must not rent, lease, lend, sell or sublicence the Media Clips to another person, company or organisation. Any media produced using the Media clips must be for your own use, or for the use of your employer, client or customer.

Special Limitations
The Media Files may not under any circumstances be used in or in conjunction with pornographic, defamatory, obscene, fraudulent, libelous, infringing, immoral, or illegal material.
Copyright
All Media Clips are copyright of Shotbank and are protected by Uk and International Copyright laws, No title or intellectual property rights in the Digital Media Files is transferred to you. Shotbank retains all rights not expressly granted by this license Agreement.
Liability
Shotbank and/or any of its agents will not be liable to you for any special, indirect, consequential, punitive, or incidental damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Media Clips. LICENSOR'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY SHALL BE no more than the amount paid for the particularl Media Clip.
You agree to indemnify and hold Shotbank harmless from and against any damages or liability of any kind arising from your use of the Media Clips in any form, any breach of the terms and conditions of this Agreement, or your negligent act, omission or willful misconduct. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. All license rights granted pursuant to this Agreement shall automatically terminate upon your breach of this Agreement.

| Guarantee |
| We guarantee that each data media clip will be free from error. In the event of a fault in the transportation media our liability is limited to a refund of any monies paid for the particular clip in question |
